DIAMOND PASS TERMS AND CONDITIONS 

Diamond Pass Access is a premium event package that may include a guaranteed opportunity to present live in Investor Tank, access to preferred event seating, virtual Investor Tank Bootcamp access and workbook materials, subject to the terms below.

Organizer

Diamond Pass Access is offered by Terrica Lynn Smith LLC together with its affiliates, event partners, designees, successors, and assigns (“Organizer”).

Purchase And Access
Diamond Pass Access is personal to the purchaser, non-transferable except as expressly permitted by Organizer, and subject to availability, posted deadlines, venue capacity, and all event policies. Purchase of Diamond Pass Access does not create any ownership interest, advisory relationship, investment commitment, fiduciary duty, brokerage relationship, or agency relationship between Organizer, any investor, and any attendee.

Included Benefits
Unless otherwise stated by Organizer, Diamond Pass Access includes:

a guaranteed opportunity to present live in Investor Tank, subject to timely compliance with all presentation requirements

access to Circle of Investor seating area during the main conference sessions 

access to the live virtual Investor Tank Bootcamp and related workbook

Organizer may revise the format, timing, location, or content of any listed benefit.

Guaranteed Investor Tank Opportunity
Diamond Pass Access includes an opportunity to present live in Investor Tank, provided the pass holder timely completes all required submission materials, deadlines, disclosures, and event participation requirements established by Organizer. Organizer may set time limits, format requirements, presentation guidelines, slide restrictions, and content standards. Organizer may refuse, stop, shorten, reschedule, or remove any presentation that it believes is incomplete, unsafe, unlawful, misleading, defamatory, infringing, off-brand, or otherwise inconsistent with the event.

No Promise Of Funding Or Partnership
 There is no promise or guarantee of funding or partnership. Any commitments from judges or panelists, are subject to additional due diligence. Any investment or partnership discussed must be formalized with a mutually agreed upon format. 

No Brokerage Or Investment Advice
Organizer is not acting as a broker, dealer, investment adviser, placement agent, attorney, accountant, or fiduciary. Investor Tank is an event feature intended for education, networking, and opportunity review. Participants are solely responsible for obtaining their own legal, tax, financial, securities, and business advice before offering, marketing, or entering any investment or partnership arrangement.

Deal Presentation Responsibility
Each Diamond Pass participant is solely responsible for the content of any deal presented, including its accuracy, legality, completeness, and compliance with applicable law. By presenting, the participant represents that they have the legal right to disclose the information shared and, if applicable, the authority to present the opportunity on behalf of all relevant owners, entities, partners, or principals.

Public Voting And Deal Detail Anonymization

Organizer may reserves the right to anonymize, redact, summarize, or withhold certain deal details from public-facing materials, Applicants remain responsible for deciding what information to share publicly and accept that any information disclosed in videos, applications, live presentations, or event discussions may become public. Participants Must Be Present

Participants must be physically present at PC Live to participate in the live presentation. Failure to attend, appear on time, or comply with live event instructions may result in removal from finalist consideration.

Recording And Publicity
Investor Tank, Investor Tank Bootcamp, and related sessions may be recorded, photographed, streamed, excerpted, edited, or repurposed. By purchasing Diamond Pass Access and participating in these activities, each attendee grants Organizer and its designees the right to use their name, image, likeness, voice, presentation content, slides, and related materials for promotional, editorial, educational, archival, and commercial purposes, in any media, without additional compensation except where prohibited by law.

Preferred Seating
Seating access is subject to venue rules, occupancy limits, scheduling, security protocols, and Organizer direction. Organizer may adjust seating arrangements at any time. Access is for the pass holder(s) only and may be revoked for rule violations or disruptive conduct.

Investor Tank Bootcamp And Workbook
Bootcamp dates, format, speakers, content, and delivery method are subject to change. Workbook materials are provided for informational purposes only and may not be copied, republished, resold, distributed, or commercially exploited without Organizer’s written consent. Organizer may provide live access, replay access, downloadable materials, or substitute educational content in its discretion.

Travel, Lodging, And Expenses
Diamond Pass Access does not include airfare, hotel, meals, ground transportation, parking, incidental expenses, due diligence expenses, legal fees, or any out-of-pocket costs associated with preparing, presenting, closing, or operating a deal.

Code Of Conduct
All Diamond Pass holders must comply with Organizer’s code of conduct, venue policies, security instructions, anti-harassment rules, and all event-related directions. Organizer may remove any attendee or presenter without refund for disruptive conduct, harassment, unlawful activity, intoxication, unsafe behavior, fraudulent misrepresentation, or any other behavior Organizer deems harmful to the event or other attendees.

Refunds And Transfers
Refunds, credits, upgrades and transfers are governed by Organizer’s posted refund and ticket policies, unless Organizer states otherwise in writing, which may be found HERE [replace HERE with the link]. Organizer may revoke Diamond Pass benefits without refund if the attendee fails to meet submission deadlines, violates these Terms and Conditions, or is removed from the event for cause.

Modification, Suspension, Or Cancellation
Organizer may revise the program, speaker lineup, Shark panel, Bootcamp format, presentation schedule, access rules, or any Diamond Pass benefit at any time. Organizer may suspend, postpone, relocate, or cancel any component of Diamond Pass Access due to operational, legal, safety, compliance, venue, weather, force majeure, or other circumstances beyond Organizer’s reasonable control.

Limitation Of Liability
To the fullest extent permitted by law, each Diamond Pass holder releases Organizer and its affiliates, officers, directors, employees, contractors, agents, partners, Sharks, judges, speakers, and venue representatives from claims arising out of or relating to ticket purchase, event attendance, networking, presentation activities, reliance on statements made by other attendees or Sharks, or any investment or partnership discussion arising from the event.

Governing Terms
Diamond Pass Access is subject to all posted event policies, ticket terms, privacy policies, refund policies, and official program rules published by Organizer. Governing law and venue should be filled in by counsel in the final version.

All ticket sales are final unless otherwise stated in writing by Terrica Lynn Smith LLC. By purchasing a ticket to PC Live, the buyer acknowledges and agrees to the following refund policy:

General Ticket Policy

All tickets, passes, bundles, upgrades, and add-on purchases are non-refundable.

Tickets may not be refunded due to scheduling conflicts, travel issues, personal emergencies, illness, change of plans, or inability to attend.

No refunds will be issued for no-shows, partial attendance, or failure to use any portion of the ticket benefits.

Transfers And Substitutions

Ticket transfers or substitutions are not guaranteed and are subject to Organizer’s written approval.

If transfers are permitted, they must be requested by the stated deadline and may require an administrative transfer fee.

Any approved transfer must be completed through Organizer’s designated process. Unauthorized resale or transfer may result in cancellation of the ticket without refund.

Upgrades 

Ticket upgrades may be permitted subject to availability and payment of the price difference.

Downgrades are not permitted

Event Changes

Organizer reserves the right to make changes to the event, including but not limited to date, schedule, speakers, venue, format, seating, programming, and included benefits.

Such changes do not entitle the ticket holder to a refund.

If the event is postponed, rescheduled, relocated within the same general market, or modified in format, tickets may remain valid for the revised event as determined by Organizer.

Cancellation by Organizer

If Organizer cancels the event in its entirety and does not reschedule it, Organizer may, in its sole discretion, offer a refund, credit, or transfer to a future event.

Any refund or credit issued by Organizer will be limited to the amount actually paid to Organizer for the ticket and will not include travel, lodging, transportation, processing fees, third-party booking fees, or any other incidental or consequential expenses.

Conduct and Removal

Organizer reserves the right to deny admission or remove any attendee for violation of event rules, disruptive conduct, harassment, unlawful activity, or any behavior Organizer deems unsafe or harmful.

In such cases, no refund, credit, or compensation will be issued.

Chargebacks and Payment Disputes

By purchasing a ticket, the buyer agrees not to initiate a chargeback or payment dispute except in cases of unauthorized use of a payment method.

Organizer reserves the right to dispute any chargeback that conflicts with this refund policy and may revoke ticket access or future purchasing privileges for improper chargeback activity.

Acceptance of Policy

Purchase and use of any ticket constitutes acceptance of this refund policy and any additional terms, conditions, or event policies posted by Organizer.
